By creating an account or using the Yona API, you agree to these terms. If you are using Yona on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree to these terms, do not use the service.
Yona provides API infrastructure for e-invoicing in Nigeria. The service includes: invoice creation, UBL 2.1 validation, cryptographic signing, submission to the relevant tax authority, status tracking, webhook notifications, seller/buyer management, and billing/credit management.
We operate as a licensed access point and system integrator. We are an infrastructure provider — we do not provide accounting, tax advisory, or legal services.
API access is governed by your subscription plan. Each plan includes a monthly credit allocation (1 credit = 1 invoice submitted to the tax authority). Unused credits do not roll over unless specified in your plan. Rate limits are enforced per API key. Exceeding rate limits returns HTTP 429 responses.
You must not:
For development and testing only. No real invoices are submitted to the tax authority.
Submits real invoices to the tax authority and consumes credits. You are solely responsible for the accuracy of invoice data submitted in production. Yona validates format and structure but does not verify the commercial accuracy of your transactions.
You represent that all invoice data submitted through Yona is accurate and reflects genuine business transactions. You are responsible for compliance with all applicable Nigerian tax laws.
Yona submits invoices to the relevant tax authority on your behalf as a licensed intermediary, but ultimate tax liability remains with you. We retain invoice data for a minimum of 6 years as required by Nigerian tax law.
You retain ownership of all invoice data, seller/buyer records, and business information you submit through the API. We do not claim ownership of your data. We process your data solely to provide the service. See our Privacy Policy for details on data handling.
We target 99.9% API uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance.
We are not liable for downtime caused by tax authority system unavailability, internet connectivity issues, or force majeure events.
The Yona API, SDK, documentation, and brand assets are owned by Yona Technologies Ltd. You may use our SDK (@useyona/einvoice-js) under its published license. You may not reverse-engineer, decompile, or create derivative works of our API infrastructure.

You may terminate your account at any time by contacting support@elyonar.ng. Upon termination, we retain invoice data for the legally required retention period (6 years). Unused credits are not refundable upon termination.
If you use Yona's multi-organization features (B2B2B model), you are responsible for ensuring your sub-organizations comply with these terms. Credit pool configurations between parent and child organizations are governed by the settings you configure.
We may modify these terms with 30 days' written notice via email. Material changes affecting pricing or data handling require affirmative consent. Continued use after the notice period constitutes acceptance.
These terms are governed by the laws of the Federal Republic of Nigeria. Disputes shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to arbitration under the Arbitration and Mediation Act of Nigeria. The seat of arbitration shall be Lagos, Nigeria.
If any provision of these terms is found unenforceable, the remaining provisions continue in full force.
